Financial Services Regulatory Authority (FSRA): register, licences and requirements

Changing the owner of a licensed firm

Prior approval required. Under FSMR section 105 and GEN 8.8, prior written approval from the FSRA is required before a person becomes a controller or increases control across 20%, 30%, or 50% thresholds. A controller is defined as holding 10% or more of voting rights or capital, or exercising significant influence. The statutory determination period is 90 days from receipt of a complete notice, accompanied by a USD 1,000 application fee.20

  • 2026-09-16: FSRA finalised changes to its Funds Framework following CP 12/2025; Venture Capital Fund Managers and Foreign Fund Managers have a transition period until 31 March 2027.21
  • 2026-07-13: FSRA published its 2025 Annual Report: 95 Financial Services Permissions granted (up 22% year on year) and 120 In-Principle Approvals issued (up 32%).19

What is the difference between FSRA ADGM and DFSA or VARA?

The FSRA regulates Abu Dhabi Global Market, an offshore financial free zone operating under English common law, covering both traditional finance and virtual assets. In contrast, the DFSA regulates Dubai's DIFC financial free zone, while VARA regulates virtual assets exclusively within onshore Dubai mainland and its commercial free zones.

How does FSRA regulate virtual assets and stablecoins?

FSRA regulates virtual asset activities, including exchanges, brokerages, and custodians, via specific endorsements added to standard Category 3 or 4 permissions, alongside a USD 20,000 top-up fee. Issuers of Fiat-Referenced Tokens (stablecoins) are subject to Category 3C authorization with dedicated reserve backing requirements and an application fee of USD 70,000.

What is the approval process and statutory timeline for an FSRA licence?

Authorisation runs in stages: pre-application engagement with a draft Regulatory Business Plan, the formal application, the FSRA's assessment, in-principle approval (IPA), meeting the pre-conditions (incorporation, capital, key staff) and the final Financial Services Permission. The FSRA decides within a reasonable time of a complete application; it does not publish a fixed statutory deadline.

Can foreign firms own 100% of an FSRA-regulated entity in ADGM?

Yes. The FSRA actively permits 100% foreign ownership of regulated financial institutions and general commercial entities in ADGM without requiring a local Emirati partner or sponsor. Firms also benefit from a 0% corporate tax rate on qualifying income, zero personal income tax, and unrestricted capital and profit repatriation.
