Qualifying holdings reaching or crossing 10%, 20%, 30%, or 50% trigger mandatory prior notification to CySEC under Sections 12 and 13 of Law 87(I)/2017. Any natural or legal person proposing direct or indirect acquisition, or control making the firm a subsidiary, must file written submissions under these rules and MiCA Article 83. CySEC acknowledges receipt within two working days of submission. Following acknowledgment, the regulator holds a statutory assessment period of 60 working days to oppose the transaction. Scrutiny during this window focuses strictly on reputation, financial soundness, AML risks, and fit-and-proper criteria. Officers may interrupt the assessment period once by up to 20 working days to request supplemental information. For non-EU entities, this single interruption allowance extends up to 30 working days. Tacit approval applies: if CySEC does not object in writing before expiry, the transaction is deemed approved. Closing without CySEC non-opposition suspends voting rights and risks statutory penalties. Supervisory oversight resides with the Cyprus Securities and Exchange Commission in Nicosia, which was established in 2001 and currently maintains 248 investment entities on its register. Transacting through this established notification mechanism avoids the 6 months statutory decision period required for fresh authorisations.
