The Investment Services and Activities and Regulated Markets Law of 2017 (Law 87(I)/2017) defines the legal foundation and operational scope of a Cyprus Investment Firm authorisation. Supporting legislation comprises The Cyprus Securities and Exchange Commission (Establishment and Responsibilities) Law of 2009 (Law 73(I)/2009) and The Alternative Investment Fund Managers Law of 2013 (Law 56(I)/2013). Authorised permissions under this statutory regime allow reception and transmission of orders, execution of orders on behalf of clients, dealing on own account, portfolio management, investment advice, underwriting or placing on a firm commitment basis, placing without a firm commitment, and operating a multilateral trading facility (MTF).

Passporting rights extend across the EU/EEA once full authorisation is active. Activities remain strictly circumscribed by these enumerated statutory permissions and the specific permissions granted to the entity. Unauthorised activities outside this boundary are prohibited unless separate authorisations are granted. Corporate acquirers need to audit the target company against its granted scope, because unapproved expansions into ancillary or trading services without regulatory approval expose the vehicle to sanctions from CySEC.
