Payment institution licence in Lithuania

On the day of closing, the buyer would hold a payment institution licence in Lithuania under Republic of Lithuania Law on Payment Institutions No XI-549. That authorisation permits services to be passported across the EU/EEA. Supervision is exercised by the Bank of Lithuania from its administrative seat in Vilnius. The official register showed 27 authorised institutions of this type when counted 2026-09-24. Prior written notification to the Bank of Lithuania is mandatory before acquiring a qualifying holding. This obligation arises upon reaching or crossing 10%, 20%, 30% of capital or voting rights, as well as 50%, or when the entity becomes controlled. Under Law on Banks Articles 24-25, applied to payment institutions by Article 10 of the Law on Payment Institutions, the authority reviews acquirer reputation, financial soundness and AML/CFT risks. Statutory assessment runs for 60 working days. Regulators may interrupt that review period once by up to 20 working days to obtain additional documentation. In practice, market participants see an ongoing supervisory fee of max 0.65% of income, with a proposed 1% from 2027 and a min EUR 5,000 full fee.
