About This Company

Articles 24-25 of the Law on Banks, applied via EMI Law Art. 17, dictate the mandatory regulatory route for acquiring this electronic money institution in Lithuania. Incoming investors must formally notify the Bank of Lithuania in writing in advance of securing direct or indirect participation reaching or exceeding 10%, 20%, 30%, alongside 50% of capital or voting rights, as well as before establishing parent control. Supervisory vetting investigates acquirer reputation, financial soundness, executive fitness, and AML/CFT risk. The statutory timetable allots 60 working days for the determination. Supervisors may interrupt this process once by up to 20 working days for supplementary information, extending to 30 working days when non-EU acquirers are involved. Regulatory sanctions for non-compliance are severe. Failure to notify or proceeding over objection divests all voting rights by operation of law. Direct transfer of the authorisation to another entity is legally impossible because the licence belongs exclusively to the corporate vehicle to which it was issued. Corporate acquisitions structured as share deals represent the sole permissible mechanism to transfer ownership of the licensed institution. Asset transactions cannot transfer the status and require an acquiring entity to apply independently for a separate EMI licence.
