The Financial Services Commission in Ébène decides whether to grant regulatory approval for incoming shareholders. Statutory provisions in Section 23 of the Financial Services Act 2007 and Section 16 of the VAITOS Act 2021 mandate prior FSC approval for any issue or transfer of shares, legal interests, or beneficial holdings. Transfers completed without this statutory consent are legally void. Exemption from prior clearance is limited to acquisitions below 5% that do not alter control or result in an individual holding exceeding 20%. Written notification to the Commission is mandatory both for those sub-5% transfers and for reallocations among existing shareholders that preserve the control structure. Controller thresholds apply to anyone holding or controlling not less than 20% of shares or voting power, exerting significant influence, or possessing powers to appoint or remove board members. Fit and proper vetting is conducted by Commission staff on every controller and beneficial owner. Section 17B of the Financial Services Act 2007, added by Act 11 of 2024 effective 1 October 2024, establishes a decision timeline within 10 working days after the Commission deems an application complete.
