The buyer acquires an entity authorized under the Securities Act, 2007, consolidated to 18 December 2024. Holding this Securities Dealer's Licence (full or restricted) requires meeting recurring financial obligations set by Financial Services Authority (Seychelles). Licensees must pay a fixed annual licence fee of USD 6,000 from 2026, which falls due by 31 January each year. In practice, market participants saw the annual fee pro-rated by grant quarter across 2025 between USD 3,250 and USD 6,000. Regulators supervise licensed entities from their administrative headquarters located in Victoria, Mahé. The underlying permission covers investment advice, portfolio management, client order transmission, client trade execution, and proprietary trading. Every transfer of legal or beneficial interest in shares requires prior written consent from the FSA under s.60(1). The licensee submits an application under s.60(1A) together with a statutory filing fee. Since 1 January 2026, this fee stands at USD 500 for each shareholder involved under S.I. 120 of 2024.
