The Securities Act, 2007 governs the scope of the Securities Dealer's Licence (full or restricted) in Seychelles. Consolidated to 18 December 2024, this statute empowers the Financial Services Authority to license and supervise dealer firms operating in or from the country. Authorised activities include portfolio management, investment advice, order execution and proprietary transactions. The licence is strictly domestic in reach, meaning it does not grant passporting rights to provide financial services in foreign territories. Under s.60(1), no shares in a licensed firm can be allotted or transferred without prior written permission from the FSA. Section 60(3) confirms that this rule applies to legal and beneficial transfers without any minimum percentage threshold. Transfers completed without approval expose the entity to corporate fines up to USD 100,000 under general penalty provisions in s.127(2). Regulatory applications submitted under s.60(1A) carry a statutory charge of USD 500 per shareholder under S.I. 120 of 2024, item 12. In practice, the licensee pays an ongoing annual fee of USD 6,000 due by 31 January each year. The buyer confirms active standing by checking the company name in the FSA public register.
