Established in 2014, the FSA operates as an autonomous non-bank financial regulator. Permitted activities require legal verification to confirm that client services cover order execution, order transmission, investment advice, portfolio management, and proprietary trading. Cross-border passporting is unavailable because the authorisation is domestic and does not passport. Prior approval from the regulator is required under section 60(1) of the Securities Act, 2007 before any share is issued, transferred, or disposed of. No ownership percentage threshold exists. Every legal or beneficial interest transfer triggers an application under section 60(1A) accompanied by a prescribed fee of USD 500 for each shareholder involved. Completing an unapproved transfer risks a corporate fine of up to USD 100,000 under section 127(2).
