Passporting across the European Union cannot occur automatically, requiring a formal regulatory notification under MiCA Article 65 before cross-border operations commence. Authorisation granted by Národná banka Slovenska permits crypto-asset service providers to passport their services across all 30 EU and EEA member states. Service delivery across Europe may proceed on a freedom of services basis or through establishing local branches. Local substance requirements mandate that the Slovak legal entity must maintain its registered office in Slovakia and conduct at least part of its crypto-asset services domestically under Act No. 248/2024 Coll. Effective management must stay within the European Union, with at least one executive director resident in the EU. Letterbox entities and nominee arrangements face strict prohibition by NBS. Permitted activities cover platform operation, custody, exchange, execution, placing, advice, and order transmission for crypto-assets. Capital rules require ongoing own funds equal to the higher of permanent initial capital (EUR 50,000, EUR 125,000, or EUR 150,000) or one quarter (25%) of preceding-year fixed overheads. Only 6 authorised entities of this licence type appeared on the NBS register when counted on 2026-09-24. Before executing a share purchase, the buyer must notify NBS, which assesses acquirers within a statutory period of 60 working days under MiCA Article 84.
