About This Company

Regulation (EU) 2023/1114, together with Slovak Act No 248/2024, establishes the legal framework governing crypto-asset service provider authorisations in Slovakia. Authorisation attaches exclusively to the incorporated corporate legal entity (a.s., s.r.o., j.s.a., or SE) and cannot be sold, assigned, or transferred to another firm. An asset purchase leaves the licence behind, obliging an acquirer to apply for an entirely separate CASP authorisation from Národná banka Slovenska. Acquisitions must therefore take the form of a corporate share transaction. Buying the shares transfers the corporate entity complete with its regulatory permissions, registered capital, operational structure, and client accounts. Segregated client accounts protect customer crypto-assets and funds from corporate bankruptcy claims under MiCA Article 70 and Act No. 248/2024 Coll. Continuity rules require the company to make use of the authorisation within 12 months of being granted to avoid revocation under Article 64(1)(a). Cessation of crypto-asset services for nine consecutive months also allows NBS to withdraw the licence for dormancy. Proposed ownership changes require prior notification to NBS under MiCA Article 83 for acquisitions reaching qualifying holding levels. NBS assesses acquirers over a statutory 60-working-day review period, charging a statutory fee of EUR 600 under Decree No. 5/2021. Before closing, the buyer should verify the corporate entry on the public register of financial market entities.
